TERMS AND CONDITIONS FOR COMPANIES
Below are the applicable terms and conditions for companies purchasing services from CVforum ApS (hereinafter referred to as "CVforum") with CVR number 38203991
APPLICATION AND SCOPE
These terms and conditions apply to any service offered by CVforum unless otherwise agreed in writing between the parties. Any use of CVforum's services is subject to these terms and conditions. The purchaser (hereinafter referred to as the "Company") is deemed to accept the terms from the moment one of CVforum's services is used. The Company commits to familiarizing itself with these terms before using the services. However, these conditions apply regardless of whether this obligation is fulfilled.
OFFER AND ACCEPTANCE
Any display of candidates that the Company gains access to through the use of CVforum's services is considered an offer.
The Company accepts the offer by using the service, which occurs when the Company performs an action expressing a willingness to use the displayed candidates. This includes, but is not limited to, reviewing the candidates' profiles, contacting the candidate, arranging an interview, initiating the recruitment process, or hiring.
PURCHASE OF CV-MATCH
CVmatch is a mini-headhunting service where the Company purchases CVforum’s assistance in identifying and presenting candidates for a specific position that needs to be filled.
Before candidates are presented to the Company, CVforum conducts individual interviews with each candidate to assess their suitability and interest in the position. This process includes a thorough update of their CV and other accompanying data.
The interviews is done virtually, and CVforum has not met the candidates in persona.
Additionally, a written report from the initial interview is provided.
The Company pays a startup fee upon the commencement of the assignment. This fee is non-refundable, regardless of whether the Company later decides to terminate the recruitment process, put it on hold, or chooses not to hire any of the candidates presented. If the Company modifies the requirement specification after the assignment has commenced, CVforum reserves the right to charge a new startup fee before continuing the task.
The Company also pays a separately agreed recruitment fee for each candidate hired.
An employment is considered to have taken place when the Company, either verbally or in writing, enters into an agreement with a candidate or otherwise expresses its intent to hire the candidate in any of the following forms of employment; Permanent employment, Project-based employment, Fixed-term employment, Full-time or part-time employment, Flex job, sheltered job, or publicly subsidized internship, Job trial, Apprenticeship, Freelance or invoice-based collaboration.
The obligation to pay the recruitment fee applies regardless of whether the Company was already acquainted with the candidate, including through its own search, network, direct application, or unsolicited contact from the candidate.
The obligation to pay the recruitment fee remains in effect for 180 days from the date the Company gains access to the candidate’s CV. The Company is required to inform CVforum of any hires of presented candidates. CVforum retains the right to verify employment through direct contact with the candidates.
CVforum provides no guarantee regarding the candidate’s performance in the job. The Company may not claim a refund of startup or recruitment fees, compensation, or any other form of reimbursement if a hired candidate fails to meet expectations or leaves the position.
PURCHASING OF CLICK'N HIRE
The product Click'n Hire involves the Company gaining access to an online list of qualified candidates who have previously expressed interest in working for the Company.
Before being added to the list, CVforum evaluates their qualifications based on agreed requirements while also updating their CVs. The evaluation is done virtually, and CVforum has not met the candidates in persona.
When the list is ready, CVforum sends an email with a login to the Company. Access to the list includes the option to view the candidates' full CVs, which may include, but is not always limited to, Land, Region, Postal code, Resume, Work experience, Education, Professional qualifications, Language skills, Personal traits, Certificates, Current employment status and Job preferences.
With free access, the Company cannot see the candidates' contact data, such as their Name, Phone number, Email address and Photograph. To access a candidate's contact data, the Company must click on "View contact data," a function displayed when the CV is opened. For selecting contact data, a pre-agreed click fee is paid to CVforum. The Company only pays the click fee for the CVs where it selects the contact data. Access to the contact data occurs immediately when the Company clicks on "View contact data" and cannot be withdrawn.
Clicking "View contact data" is considered acceptance of the agreed click fee, regardless of whether the Company chooses to hire the candidate. The Company acknowledges that access to the CV and contact data is an exclusive right to assess the candidate, and there is a financial obligation associated with this access in the form of the agreed click fee. The agreed click fee for access to the candidate's contact data is therefore not contingent upon hiring the candidate but is solely a fee for the value the access to the CV and contact data represents.
There is no additional cost if the Company chooses to hire candidates from the list.
CVforum's CMS automatically records the number of clicks on the 20th of each month and then sends a detailed invoice to the Company.
Access to the CV and contact data is valid as long as the candidate wishes to remain on the list and ceases when CVforum removes the information from the list on behalf of the candidate.
GENERAL TERMS
The Company is granted a non-exclusive, non-transferable right to use the displayed CVs and contact data for internal recruitment purposes in accordance with these terms.
CVforum retains ownership and copyright of all CVs and contact data. The Company only has access to the information according to the specific usage rights granted in these terms.
The company must not forward, disclose, share, or distribute CVs or contact details to any third party without prior written consent from CVforum. In the event of a breach of this provision, CVforum reserves the right to claim payment of the full recruitment fee.
CVforum has previously obtained the candidates' consent for the Company to directly engage with them about a job to be filled.
CVforum provides the CVs and contact data "as is" and makes no guarantees regarding the accuracy or completeness of the displayed information.
CVforum disclaims any responsibility for the Company's use of the displayed data. The Company is solely responsible for the legality of using the received data and must ensure that all legal requirements, including GDPR, are met.
CVforum is the data responsible for the personal data processed in connection with the publication of CVs and access to contact data. CVforum processes personal data in accordance with applicable data protection laws (GDPR).
The Company is responsible for storing and processing the received personal data correctly and in accordance with applicable data protection laws. The Company must ensure that it only uses the data for legal recruitment purposes.
The Company commits to using the displayed CVs and contact data for lawful and ethical purposes, including recruitment and hiring, and not for marketing or unauthorized communication.
The Company may not distribute or forward the CVs or contact data to third parties without CVforum’s written consent.
CVforum is not responsible for direct or indirect loss, damage, costs, or compensation that may arise from the Company’s use of CVs or contact data, including losses caused by errors, omissions, or omissions in the displayed information.
CHANGES TO TERMS AND CONDITIONS
CVforum reserves the right to change the terms and conditions. Any changes will be published on CVforum's website and take effect on the date they are published, unless otherwise specified.
Companies that trade with CVforum will be informed of significant changes to the terms and conditions. Companies are considered to accept the amended terms if they do not notify CVforum within 14 days that they do not wish to accept the new terms.
PAYMENT
The normal credit period for purchasing services from CVforum is net cash 8 days from the invoice date. In case of late payment, CVforum reserves the right to charge a reminder fee of 2.5 percent of the invoice amount per started month.
DELETION OF USER PROFILE
The Company may delete its user profile or request CVforum to delete it by sending an email to mail@cvforum.dk or contacting CVforum at +45 77 340 430 on weekdays between 9:00 AM – 5:00 PM.
Upon deletion of the user profile, all data, lists, and CVs that the Company has access to will be deleted, and the Company must start over if it wishes to use CVforum’s services again.
DISPUTES
These terms and conditions and any disputes arising in connection with the agreement between CVforum and the Company shall be governed by and interpreted in accordance with Danish law.
Any dispute that cannot be resolved amicably shall be brought before the Danish courts, unless another court has jurisdiction under mandatory legal provisions.
